End User License Agreement (EULA)

This End User License Agreement (“EULA”) is a legal agreement between you and Archilas governing your use of the Archilas software and related applications (the “Software”). If there is any conflict between this EULA and our Terms of Service, the Terms of Service control for the Services broadly, while this EULA addresses the license to the Software itself.

By installing, accessing, or using the Software, you agree to this EULA. If you do not agree, do not install or use the Software.

Subject to your compliance with this EULA, Archilas grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Software for your personal or internal business purposes.

The license is granted for the term of your lawful use of the Services and may be subject to plan limits, technical constraints, and geographic availability.

You may not, and may not permit others to:

• Copy, modify, or create derivative works of the Software except where permitted by law.
• Reverse engineer, decompile, or disassemble the Software except to the extent prohibited by law.
• Rent, lease, sell, sublicense, distribute, or transfer the Software to any third party.
• Remove or alter any proprietary notices or security features.
• Use the Software to violate law or infringe the rights of others.

You may use integrations and connected accounts within the Software (including via the MCP protocol) only in accordance with the permissions you have and the applicable third-party terms.

The Software is licensed, not sold. Archilas and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights.

This EULA does not grant you any rights to Archilas trademarks, service marks, logos, or other brand features.

We may provide updates, patches, enhancements, or modifications to the Software. Updates may be required to continue using the Software or certain features.

You agree that we may update the Software automatically where permitted by law and your device settings. You are responsible for maintaining a compatible device and environment.

The Software may allow you to submit or store Content, including structured memory entries processed through memory systems and memory operations. You control what you submit and are responsible for your Content.

You represent and warrant you have the rights to submit and use your Content and that doing so does not violate law or third-party rights, including privacy and confidentiality obligations.

The Software may interact with third-party services, including services you connect via OAuth or the MCP protocol. Those services are not under our control and may change or become unavailable.

Your use of third-party services is governed by their terms and policies. Archilas is not responsible for third-party services or any third-party content you access through the Software.

This EULA is effective until terminated. You may terminate by uninstalling the Software and stopping use.

We may terminate or suspend this EULA (and your rights to use the Software) if you violate this EULA, our Terms of Service, or if required to protect the Services, users, or comply with law.

Upon termination, you must stop using and uninstall the Software. Sections that by their nature should survive will survive termination.

The Software is provided “as is” and “as available.” To the maximum extent permitted by law, Archilas disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Software will be uninterrupted, secure, error-free, or that defects will be corrected.

To the maximum extent permitted by law, Archilas will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, goodwill, or data arising out of or related to your use of the Software.

To the maximum extent permitted by law, Archilas’s total liability under this EULA will not exceed the amount you paid for the Software in the twelve (12) months preceding the event giving rise to the claim, or US$100 if you have not paid for the Software in that period.

You agree to comply with applicable export laws and regulations and sanctions programs. You may not use or export the Software in violation of applicable law.

You represent that you are not prohibited from using the Software under applicable laws and are not located in a jurisdiction where providing the Software would be unlawful.
